Please read these Terms and Conditions ("Terms") carefully before using the Empowering Ethics (empoweringethics.org) website and application (“Service”) operated by The Melrose and The Toro Company Center for Principled Leadership of the University of St. Thomas (“UST”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

Ownership

UST owns and operates the Service. The Terms apply to the Service, including but not limited to written and graphic or design items, underlying code and source files, and other features related to the Service.

The Service includes proprietary material of UST, which is protected by copyright and other laws respecting proprietary rights. To the extent provided by law, UST retains all rights in the Service and its content and functionality, including (without limitation) all copyright and other proprietary rights worldwide in all media. You may not publish, broadcast, sell, or otherwise redistribute these materials for commercial purposes. Use of any bot or other automatic device, or manual process to monitor or copy any pages or material on the Service is also forbidden.

UST reserves the right to change, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content, at its sole discretion. UST may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability.

User Information

The Service allows you to enter and store certain information in text format (“User Information”). You are solely responsible for this information. UST uses encryption to help protect your User Information. This encryption prevents even UST staff and Service admins from viewing User Information. UST agrees not to intentionally disclose any User Information provided to the Service, but does not warrant complete protection of any confidential or proprietary information entered on the Service.

Update to Terms

UST reserves the right to modify the Service’s website and these Terms with or without notice, in its sole discretion. Any and all changes to these Terms will be posted exclusively on the Service website. Continued use of the Service following any change constitutes your acceptance of the change.

Nothing contained in the Service should be construed as granting, by implication or otherwise, any license or right to use any trademarks, service marks, logos or design elements displayed on the Service without the express written permission of UST or any third party that may own such marks.

Service Limitations

The Service is designed to assist you in decision-making. You are wholly responsible for all decisions reached after using the Service. Nothing on the Service should be construed as a recommendation or prescription for action. Any from the Service is intended to be used strictly for informational purposes and does not create any relationship with UST. Consult with your attorney, accountant, or other professionals as appropriate.

Warranty Disclaimers

All content available from the Service is provided “AS IS.” To the fullest extent permissible pursuant to applicable law, UST disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Specifically, but without limitation, UST DOES NOT WARRANT THE TIMELINESS, ACCURACY, COMPLETENESS, PERFORMANCE, OR FITNESS FOR A PARTICULAR PURPOSE OF THE SERVICE OR THE INFORMATION IT CONTAINS. UST DOES NOT WARRANT THAT THE SERVICE IS ERROR-FREE IN CONTENT OR IN FUNCTIONALITY.

Limitation of Liability

UST SHALL NOT BE LIABLE TO A USER OR ANY OTHER PERSON OR ENTITY FOR ANY DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SERVICE, FOR RELIANCE ON THE SERVICE’S INFORMATION, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL, OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UST, ITS AFFILIATES, ANY OFFICER, DIRECTOR, EMPLOYEE, SUBCONTRACTOR, AGENT, SUCCESSOR, OR ASSIGNEE OF UST OR ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES AND LOST PROFITS OR SAVINGS) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE SERVICE, INCLUDING ITS CONTENT.

Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota.

Entire Agreement

These Terms incorporate by reference any notices contained by the Service and constitute the entire agreement with respect to access to and use of the Service. If any provision of these Terms is unlawful, void, or unenforceable, then that provision shall be severed from the remaining provisions and not affect the validity and enforceability of the remaining provisions.
